Visual Pizzazz Licensing Agreement

The following is a legal agreement and between you and Lapco Video Communications dba Visual Pizzazz, dba Lapco Communications (collectively hereinafter referred to as the "licensor"). Read this agreement carefully before using the disc or downloading any image(s). By breaking the CD-rom and DVD seal, or downloading an image and/or software from this website, you agree to be bound by the terms of this agreement. If you do not agree, promptly return the CD-rom and/or DVD and all accompanying materials in the original carton, including your sales receipt, within 10 (ten) days of purchase for a full refund, or click on your browser¹s back button to decline this agreement.

If you are entering into this agreement on behalf of your employer, the license granted and restrictions and limitations recited herein apply to your employer as well as to you as a representative of your employer. Should you cease working for your employer, your employer may continue to operate under this agreement.

The contents of this CD and/or DVD and/or downloadable image(s) are proprietary and copyrighted by the Licensor. This copyright is protected under U.S. and International copyright law. All rights are reserved. When you purchase this product, the Licensor grants you a non-exclusive, non-transferable license to use and modify the images on this disc in your personal and professional work which includes live presentations and printed materials such as displays, advertisements, promotional campaigns, brochures and newsletters, subject to the restrictions contained herein.

The contents of this CD and/or DVD and/or downloadable image(s) may be used, altered, or incorporated according to the guidelines described herein into any work (including broadcast, commercial, industrial, educational, and personal) that is created by YOU provided that work is not then sold or distributed as either a single background or effect or as part of any background/effects library, collection, set, or product.

The contents of this CD and/or DVD and/or downloadable image(s) may not be used in a defamatory, scandalous, illegal, misleading, or otherwise unlawful manner and may not be used in or in conjunction with pornographic material.

You may not rent, transfer, or grant any rights to the images contained on this CD or DVD, or any compilation, derivative or collective work containing such images to any other person or organization without the prior written consent of the Licensor. You may not use this product on more than one computer or workstation at a time, nor on a network or multi-user system. Use of these images for editorial, on-line, video and multimedia purposes is limited.

The use of any logo or trademark contained in the CD and/or downloadable images must be used in a manner permitted by the logo or trademark owner. This license does not grant you any right to use logos or trademarks.

You agree to indemnify and hold harmless Lapco Video Communications, dba Visual Pizzazz, dba Lapco Communications and all of its officers and agents ("Those Indemnified") for any and all losses, damages, liabilities, claims, costs or expenses incurred directly or indirectly by Those Indemnified in connection with the use of the CD and/or DVD and/or downloadable images for any unlawful, unauthorized or prohibited purpose.

You may not sell, sublicense, loan, give, or transfer any part of the this CD and/or DVD and/or downloadable images or a copy thereof (except in accordance with the permitted use in a work created by you), to another person or company unless that person or company is also a licensee of this product.

WARRANTY

Licensor(s) warrant the Digital Media, Software and disc to be free from defects in material and workmanship for 90 days from delivery. The sole and exclusive remedy for a breach of the foregoing warranty is the replacement of the Digital Media, Software or disc or refund of the purchase price, at Licensor(s) option. LICENSOR(S) MAKE NO OTHER WARRANTY, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. Some states do not permit the exclusion of implied warranties, and you may have other rights which may vary from state to state. NEITHER LICENSOR(S) NOR ITS LICENSORS SHALL BE LIABLE TO YOU OR ANY OTHER PERSON OR ENTITY FOR ANY GENERAL, SPECIAL, DIRECT, INDIRECT, CONSEQUENTIAL, INCIDENTAL OR OTHER DAMAGES ARISING OUT OF THIS LICENSE OR OTHERWISE.
